Summary of Changes to Master Solutions Agreement – February 1, 2021

We have provided a summary of the most notable changes to the Solutions Agreement (formerly called Master Solutions Agreement or “MSA”), our Managed Detection and Response and Managed Risk Solutions Terms, and EU Data Processing Agreement. This summary is not exhaustive list. The Solutions Agreement is an agreement between you and Arctic Wolf that governs your use of Arctic Wolf’s solutions. It includes, by reference, our Solutions Terms. The updates to the Solutions Agreement and Solutions Terms will take effect in accordance with the current terms governing your existing subscription. If you continue to use our solutions on or after their effective date, or such other date set forth in your agreement with us, you are agreeing to the updated terms.

Solutions Agreement Updates:

• We are growing and have added or modified terms to address contractual requirements needed with our expansion into Canada and Europe.
• We have clarified that your usage rights are subject to the quantity of licenses set forth on your Order Form and that we may request from you during your subscription term necessary information to validate your usage.
• We have incorporated the newly implemented California Privacy Rights Act and added reference to Canadian Data Privacy requirements.
• We have modified the circumstances under which we would not indemnify you for third party claims of intellectual property infringement.
• We have updated the warranties that you provide to us related to your use of our Solutions.
• Throughout the Solutions Agreement, we have made changes to improve clarity and address grammar, typos, terminology, definitions, and other similar issues.

Solutions Terms Updates:

EU Data Processing Agreement Updates:

• We have enhanced our obligations to you within the Standard Contractual Clauses to ensure compliance with the changing requirements within Europe.
• Throughout the Data Protection Agreement, we have made changes to improve clarity and address grammar, typos, terminology, definitions, and other similar issues.
